Thank you for enrolling in PLS® Perks (the “Program”) provided by United Marketing Group, LLC (“The Company,” “our,” “we,” or “us”). The Billing Terms for your membership appear below and may be summarized in your Welcome Letter or Email. The Billing Terms, along with this Membership Agreement and the Benefit Terms Terms & Conditions found in this Membership Agreement constitutes your Agreement with us. This Membership Agreement incorporates by reference the Terms of Use available at www.plsperks.com but supersedes such Terms of Use to the extent they conflict with this Membership Agreement. This Membership Agreement contains a mandatory arbitration provision that restricts your ability to file claims in court or participate in a class action. Please read them carefully.
You authorized us to enroll you in the program listed above using an electronic signature on the effective date listed above and the charge for your membership was billed to your credit/debit card ending in the last four digits listed above. The monthly charge listed above will be billed to the same account/card and will be automatically charged on or about the same day each month thereafter until you cancel. The charge will appear on your statement as indicated above. You may cancel anytime by calling the phone number above or by cancelling through your online account on www.plsperks.com, but you will not receive a refund for any payments collected prior to your cancellation unless a refund is required by law.
Termination Conditions: We reserve the right to terminate program members for any reason, including non-payment, with or without notice.
Program Changes: All program benefits are subject to the terms and conditions shown in this Agreement. Program benefits, membership fees and these terms and conditions may change in our sole discretion and without notice. If, in our opinion, a change is material (such as a change in membership fee), we will provide you with at least 30 days prior notice by sending you a notice via email or mail. If you do not cancel your membership prior to the effective date of the change, you will have accepted the changed terms.
Disclaimer of Warranties: We have made arrangements for members to have access to third-party services that provide various types of benefits to Program members. We do not warrant or guarantee the suitability and/or quality of goods or services provided by these third-party providers. TO THE FULLEST EXTENT PROVIDED BY LAW, WE SPECIFICALLY DISCLAIM ANY AND ALL RESPONSIBILITY AND LIABILITY THAT MAY RESULT FROM OR BE CAUSED BY YOUR OR ANYONE ELSE’S USE OF OR RELIANCE ON THE GOODS OR SERVICES FROM THESE THIRD-PARTY PROVIDERS. ALL PROGRAM BENEFITS, REGARDLESS OF PROVIDER, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PROVIDED BY LAW, WE SPECIFICALLY DISCLAIM ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Limitation of Liability & Force Majeure: TO THE FULLEST EXTENT PERMITTED BY LAW AND IN ADDITION TO OTHER LIMITATIONS AND EXCLUSIONS, IN NO EVENT WILL WE BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO PROGRAM. FURTHER, TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY IN ANY CIRCUMSTANCE WILL NOT EXCEED THE LAST MEMBERSHIP FEE YOU PAID. THESE EXCLUSIONS AND LIMITATIONS OF LIABILITY WILL SURVIVE CANCELLATION OR TERMINATION OF YOUR PROGRAM MEMBERSHIP. We will also have no liability if we are prevented from, or delayed in performing, our obligations due to acts or events beyond our reasonable control such as fire, acts of God, government order, or failure of providers, suppliers, or contractors.
Complaint and Dispute Resolution Procedure: If you have a complaint regarding your program membership, please contact us so that we may assist you. Please call 1-800-616-1420 or write to us at Membership Services, PO Box 726, Lombard, IL 60148. Any controversy, claim or dispute arising out of or related to this Agreement and/or the Program, including, but not limited to, the interpretation of this dispute resolution provision or alleged violations of state or federal statutory or common law rights or duties (a “Dispute”) shall be solely and exclusively resolved according to the procedures set forth in this paragraph. If the parties are unable to resolve any Dispute through informal means, either party may initiate binding arbitration of such Dispute by sending notice demanding arbitration to the other party. The demand for arbitration shall be made within a reasonable time after the Dispute has arisen, but in no event shall it be made more than one year from when the aggrieved party knew or should have known of the controversy, claim, or facts forming the basis of the Dispute. The arbitration shall be initiated and conducted according to American Arbitration Association rules and procedures for consumer arbitration and including, if applicable, its rules for mass arbitration (the “Arbitration Rules”). If a Dispute is within the jurisdiction of the small claims court of Cook County, Illinois, it may be submitted to such small claims court on an individual basis. The arbitration shall be conducted in Cook County, Illinois before a single neutral arbitrator appointed in accordance with the Arbitration Rules. The decision of the arbitrator will be issued with a reasoned opinion and will be final without option to appeal. If the amount in controversy is less than $25,000, the parties agree that the Dispute will be decided on the basis of written submissions without a hearing. The parties may mutually agree to conduct hearings telephonically or by video conference. To the fullest extent permitted by law, the arbitrator shall not have the power to award punitive, special, consequential, or indirect damages against any party. Arbitration costs and fees shall be divided in accordance with the Arbitration Rules. Each party shall be responsible for paying its own attorneys’ fees, costs, and expenses, regardless of which party prevails unless the arbitrator, applying applicable law, determines recovery of such fees, costs, and expenses by a party is required. No disputes may be arbitrated on a class or representative basis and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated. BY AGREEING TO THESE TERMS, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT IT MAY HAVE TO JOIN CLAIMS OR DISPUTES WITH THOSE OF OTHERS IN THE FORM OF A CLASS ACTION, CLASS ARBITRATION, OR SIMILAR PROCEDURAL DEVICE; AND WAIVES ANY RIGHT IT MAY HAVE TO PRESENT ITS CLAIM OR DISPUTE IN A COURT OF LAW EXCEPT FOR THE SUBMISSION OF CLAIMS IN SMALL CLAIMS COURT ON AN INDIVIDUAL BASIS AS PERMITTED HEREIN. Judgment on the award rendered by the arbitrator(s), if any, may be entered for enforcement purposes in any court having jurisdiction thereof. This is a transaction in interstate commerce and this dispute resolution provision will be governed by the Federal Arbitration Act.
Miscellaneous: This Agreement is governed according to the laws of the State of Illinois, without regard to its conflicts of law principles. Subject to the dispute resolution process described above, all claims, disputes, and suits must be brought solely in the state or federal courts located in Cook County, Illinois. Our failure to exercise or enforce any right or provision of this Agreement will not operate as a waiver of such right or provision. If any provision of this Agreement is determined to be unlawful, void, or unenforceable, the parties intend that the offending provision be modified to the minimum extent necessary to be lawful and enforceable. Portions of this Agreement which by their nature would survive termination of your use of the Program (e.g., disclaimer of warranties, limitation of liability, indemnification) will be deemed to survive. Headings are provided as a convenience and should not be used as interpretive aids. This Agreement does not create any joint venture, partnership, employment, or agency relationship between the parties.
